1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Ready Ledger ("the App"), a mobile application provided by Ready Ledger LLC ("we," "us," or "our"). By accessing or using the App, you agree to comply with and be bound by these Terms and our Privacy Policy.

2. Eligibility

You must be at least 13 years of age to use the App. If you are under 18 years of age, you must have your parent or legal guardian's permission to use the App. By using the App, you represent and warrant that you meet these eligibility requirements.

3. License Grant and Restrictions

3.1 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on devices you own or control, solely for your personal, non-commercial use.

3.2 Restrictions

You agree NOT to:

• Reverse Engineer: You may not reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, or any part thereof, except to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
• Modify or Create Derivative Works: You may not modify, adapt, translate, or create derivative works based on the App.
• Copy or Distribute: You may not copy, distribute, rent, lease, lend, sell, sublicense, or transfer the App to any third party.
• Remove Proprietary Notices: You may not remove, obscure, or alter any copyright, trademark, or other proprietary rights notices contained in or on the App.
• Circumvent Security: You may not attempt to bypass, disable, or circumvent any security features or measures of the App.
• Use for Illegal Purposes: You may not use the App for any unlawful purpose or in violation of any applicable laws or regulations.

4. User Data and Responsibilities

4.1 User-Entered Data

All data entered into the App is manually inputted by you, the user. You are solely responsible for:

• The accuracy, completeness, and quality of all data you enter into the App
• Any errors, omissions, or inaccuracies in your data
• Reviewing and verifying all information you input
• Maintaining backup copies of your important data

4.2 No Warranty on Data Accuracy

We do not verify, validate, or guarantee the accuracy of any data you enter. Any mistakes, errors, or inaccuracies in your data fall solely on you as the user. We are not responsible for any consequences arising from incorrect or incomplete data entry.

4.3 Data Storage and Backup

While the App provides optional iCloud sync functionality, you are responsible for maintaining appropriate backups of your data. We are not responsible for any data loss, corruption, or deletion that may occur.

4.4 OCR and Receipt Scanning

The App includes optical character recognition (OCR) technology for scanning receipts and extracting financial data. You acknowledge and agree that:

• OCR technology is not 100% accurate and may produce errors
• You must verify all scanned and extracted data for accuracy
• Automated expense categorization may be incorrect
• We provide no warranty on the accuracy of scanned or extracted information
• You are solely responsible for manually verifying all financial data extracted from receipts
• Receipt scanning is not suitable for tax preparation or financial reporting without your independent verification

4.5 Appropriate Use

You agree to use the App responsibly and not to:

• Enter false, misleading, or fraudulent information
• Use the App to harm, threaten, or harass any person or entity
• Interfere with or disrupt the App's functionality or servers
• Attempt to gain unauthorized access to any part of the App

5. Device Permissions and Data Access

5.1 Camera and Photo Access

The App may request access to your device camera and photo library for receipt scanning and document capture. You acknowledge:

• Camera access is used solely for receipt and document scanning
• Photos are processed on-device only and not transmitted to external servers
• Images are not permanently stored after processing unless you choose to save them
• You grant permission via iOS settings and can revoke access anytime
• Camera access is optional and not required for core app functionality

5.2 Location Services

The App may request access to your device location. You acknowledge:

• Location data is used only for tagging entries with location information (if enabled)
• Location data is stored locally on your device only and never shared with third parties
• You can disable location services at any time via iOS settings
• Location access is optional and not required for core app functionality

5.3 Speech Recognition and Voice Input

The App may use Apple's Speech Recognition framework for voice input features. You acknowledge:

• Voice data is processed on-device only using Apple's Speech framework
• Voice recordings are not stored or transmitted by us
• Speech-to-text conversion happens locally on your device
• You control microphone access via iOS settings
• Voice data may be processed by Apple subject to Apple's Privacy Policy

5.4 Biometric Authentication (Face ID / Touch ID)

The App offers optional biometric authentication for security. You acknowledge:

• Biometric data (Face ID, Touch ID) never leaves your device
• Biometric data is stored securely in the iOS Secure Enclave only
• We never access, store, or transmit your biometric information
• Biometric authentication is managed entirely by iOS
• You control biometric settings via iOS Settings
• If you choose not to enable security features (PIN, Face ID, Touch ID), or if you share your device, your data may be accessible to anyone with physical access to your device

5.5 Calendar, Contacts, and Third-Party Integrations

The App may integrate with your device Calendar, Contacts, Notes, and other iOS features. You acknowledge:

• Data imported from Calendar, Contacts, Notes, etc. is not verified by us
• You are responsible for the accuracy of all integrated data
• We are not liable for errors in data from third-party sources
• Integration requires your explicit iOS permission
• You can revoke integration permissions anytime via iOS settings

5.6 Siri and Shortcuts Integration

The App integrates with Siri and iOS Shortcuts. You acknowledge:

• Siri requests may be processed by Apple
• Data shared with Siri is subject to Apple's Privacy Policy
• We do not control how Apple processes Siri requests
• You can disable Siri access via iOS settings

5.7 Widgets, Live Activities, and Lock Screen Display

You acknowledge and agree:

• Widgets and Live Activities may display sensitive financial, career, and personal information on your lock screen
• Anyone with physical access to your device can see this information, even if your device is locked
• You are solely responsible for enabling these features and understanding the privacy implications
• We strongly recommend enabling device lock screen security (passcode, Face ID, Touch ID) if using widgets
• Disable widgets and Live Activities if you share your device or are concerned about lock screen privacy
• We are not responsible for unauthorized viewing of data displayed on widgets or Live Activities

6. Subscriptions and Payments

The App offers optional auto-renewable subscriptions (Ready Ledger Pro) that provide access to premium features:

• Monthly: $0.99 per month
• Annual: $11.90 per year

New subscribers may be eligible for a 30-day free trial. Your subscription will automatically renew unless you cancel at least 24 hours before the renewal date. You can manage and cancel your subscription through your Apple ID account settings. No refunds will be provided for the unused portion of a subscription.

7. Data Export and Security

The App allows you to export your data in PDF and CSV formats. IMPORTANT: PDF and CSV exports generated by the App are NOT encrypted. You acknowledge that:

• Exported files may contain sensitive personal, financial, and career information
• You are responsible for securing exported files and controlling who has access to them
• Do not share exports via unsecured email or messaging unless you understand the risks
• Delete exported files after use if they contain sensitive data
• We are not responsible for unauthorized access to exported files once they leave the App

8. Tax and Financial Record Disclaimer

You acknowledge:

• We are not tax advisors, accountants, or financial professionals
• The App is a personal tracking tool only
• You must consult a qualified tax professional or accountant for all tax-related decisions
• You are solely responsible for compliance with all applicable tax laws and regulations
• We are not liable for any tax penalties, fines, audits, or issues arising from your use of the App
• Do not rely on the App as your sole financial record-keeping system for tax purposes

9. Intellectual Property Rights

The App, including all content, features, functionality, software code, user interface, design, graphics, and all intellectual property rights therein, is owned by Ready Ledger LLC and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

10. Privacy and Data Protection

Your data is stored locally on your device and, if enabled, synced via your personal iCloud account. We do not collect, access, or transmit your personal data to our servers. No third-party analytics, advertising, or tracking services are used. All data remains private and under your control.

11. Children's Privacy (COPPA Compliance)

Our App is not directed to children under 13 years of age. You acknowledge:

• We do not knowingly collect personal information from children under 13
• If you are under 13 years of age, you may NOT use this App
• Parents or guardians: if you believe your child under 13 has used the App, please contact us immediately at contact@readyledger.app so we can assist with data removal

12. Beta Testing and Pre-Release Software

If you participate in beta testing or use pre-release versions of the App, you acknowledge that:

• Beta versions may contain bugs, errors, and incomplete features
• Data loss, corruption, or unexpected behavior is possible
• Beta software is provided 'AS IS' with no warranties of any kind
• Features in beta versions may change significantly or be removed before public release
• We strongly recommend regular backups if you use beta versions

13. Disclaimers and Limitations of Liability

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. The App does not provide financial, legal, career, medical, or any other professional advice. You should consult with appropriate professionals for advice specific to your situation.

We do not guarantee that use of the App will result in any specific outcomes, including improved career prospects, financial management, or personal productivity.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, RESULTING FROM:

• Your use of or inability to use the App
• Any errors, mistakes, or inaccuracies in data you enter
• Any errors in OCR scanning or data extraction
• Any tax penalties, fines, audits, or financial losses
• Any privacy breaches resulting from widget or lock screen display of information
• Any data loss, corruption, or deletion
• Any unauthorized access to your device or data
• Any interruption or cessation of the App's availability
• Any decisions you make based on data tracked in the App

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13.4 Accessibility

We strive to make the App accessible to users with disabilities, but we cannot guarantee compatibility with all assistive technologies or accessibility features. Accessibility features are provided on a best-effort basis. If you encounter accessibility barriers, please contact us at contact@readyledger.app.

14. Indemnification

You agree to indemnify, defend, and hold harmless Ready Ledger LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Any data you enter into the App
• Any decisions you make based on information in the App

15. Third-Party Services

The App integrates with various Apple services (iCloud, StoreKit, Calendar, Contacts, Notes, Siri, Shortcuts). Your use of these Apple services is subject to Apple's own terms and conditions and privacy policies, which are separate from these Terms. We are not responsible for the functionality, availability, or practices of any third-party services.

16. Updates and Changes to the App

We may periodically release updates to improve functionality, add features, fix bugs, or enhance security. You are encouraged to keep the App updated to the latest version. We may discontinue or modify features at any time without prior notice.

17. Termination

You may stop using the App at any time by deleting it from your device. If you have an active subscription, cancel it through your Apple ID account settings to avoid future charges.

We reserve the right to suspend or terminate your access to the App at any time, for any reason, including if we believe you have violated these Terms. Upon termination, your license to use the App will immediately cease.

18. Changes to These Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms within the App and updating the "Last Updated" date. Your continued use of the App after changes are posted constitutes your acceptance of the updated Terms.

19. Geographic Restrictions and Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Lorain County, Ohio.

20. Dispute Resolution and Arbitration

Before filing a claim, you agree to contact us at contact@readyledger.app to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

TO THE EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

21. Apple-Specific Terms

The App is available through the Apple App Store. You acknowledge and agree that:

• These Terms are between you and Ready Ledger LLC, not Apple
• Apple has no obligation to provide maintenance or support for the App
• Apple is not responsible for any claims relating to the App
• You must comply with the App Store Terms of Service
• Apple and Apple's subsidiaries are third-party beneficiaries of these Terms

22. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and us regarding the App.
• Severability: If any provision is held invalid or unenforceable, that provision shall be modified to reflect the parties' intention, and the remaining provisions remain in effect.
• No Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver.
• Assignment: You may not assign or transfer these Terms; we may assign our rights without restriction.
